§ 1 Scope & customers
These general terms and conditions (GTC) apply to all orders placed via this online shop. All products are intended exclusively for scientific research and laboratory purposes (in-vitro) and are sold exclusively to entrepreneurs within the meaning of applicable Cypriot and EU law as well as to commercial, scientific and institutional buyers. By ordering, the customer confirms to act in this capacity. No sale to consumers takes place.
§ 2 Contracting party & conclusion of contract
The purchase contract is concluded with THALION LTD, operator of the GPeptides shop, Neofytou Nikolaidi & Theodorou Kolokotroni, Onisiforou Center, 2nd floor, Agios Theodoros, 8011 Paphos, Cyprus (Registrar of Companies and Intellectual Property, HE 498421). The presentation of the products does not constitute a legally binding offer but an invitation to order. By submitting the order, the customer makes a binding offer. The contract is concluded once we accept the order by an order or payment confirmation or ship the goods.
§ 3 Prices & shipping costs
The prices stated at the time of ordering apply. All prices include the applicable statutory VAT (Cypriot or EU VAT) unless stated otherwise, plus shipping costs. Shipping costs are shown separately during checkout. The shipping area is the European Union.
§ 4 Payment & default
Payment is made via the payment methods offered at checkout. The goods remain our property until paid in full (§ 6). If the customer defaults on payment, we are entitled to charge statutory default interest and to suspend execution of open orders.
§ 5 Delivery, delivery time & impediments
Goods are usually handed over to the carrier within 24–48 hours of receipt of payment. Transit then takes 2–5 working days within Germany (DHL Express 1–3 working days) and 4–10 working days to other EU countries depending on the zone (GLS); details are on the shipping page. Stated delivery times are non-binding approximations unless expressly agreed as binding. Partial deliveries are permitted where reasonable for the customer. For pre-orders the delivery time may differ; this is indicated during checkout. We are not responsible for delays due to force majeure, official measures, customs, failure of payment or shipping providers or late self-supply; in such cases the delivery time is extended reasonably. Risk passes to the customer upon handover to the shipping company.
§ 6 Retention of title
The delivered goods remain our property until full payment of all claims arising from the business relationship.
§ 7 Withdrawal / returns
As sales are made exclusively to entrepreneurs and commercial buyers, there is no statutory consumer right of withdrawal. Voluntary return arrangements, where offered, are set out in our returns/withdrawal information.
§ 8 Duty to inspect & warranty
Statutory defect rights apply. The customer must inspect the goods immediately upon receipt and report apparent defects without delay, at the latest within 7 days, in text form. The inspection and notification obligations customary in commercial transactions apply accordingly. Transport damage must be reported immediately. As these are research chemicals, the warranty relates exclusively to the documented properties according to the Certificate of Analysis (COA), not to suitability for a particular purpose.
§ 9 Liability & limitation of liability
We are liable without limitation in cases of intent and gross negligence as well as for injury to life, body or health. In cases of slight negligence we are liable only for breach of an essential contractual obligation (cardinal obligation) and limited to the foreseeable damage typical for the contract. Any liability for damage arising from improper use of the products, in particular any application on or in the human or animal body, is excluded; the risk of use and liability lies solely with the customer. Any further liability is excluded.
§ 10 Intended use & customer obligations
The customer purchases the products exclusively for scientific research and laboratory purposes (in-vitro) and undertakes not to apply them on or in the human or animal body, not to use them as medicines, food, feed or cosmetics and not to pass them on to consumers. The customer is responsible for compliance with all relevant legal provisions (in particular relevant EU and national regulations on chemicals, import and trade) as well as for proper storage, handling and disposal, and confirms having the required expertise and a minimum age of 18 years.
§ 11 Availability
Offers are valid while stocks last. If a product is unavailable after conclusion of the contract, we will inform the customer immediately and refund payments already made. There is no claim to delivery in this case.

§ 13 Dispute resolution
We are neither obliged nor generally willing to participate in dispute resolution proceedings before a consumer arbitration board.
§ 14 Applicable law & jurisdiction
The law of the Republic of Cyprus applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction for all disputes arising from or in connection with this contract are the courts of the Republic of Cyprus at the registered seat of the company, insofar as the customer is an entrepreneur, a legal entity under public law or a comparable institution.
§ 15 Severability
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the legally permissible provision that comes closest to the economic purpose.
